Terms of Service

Welcome to OutProof. These Terms of Service ("Terms") govern your access to and use of the OutProof web application at outproof.ai and app.outproof.ai ("Service"), operated by OutProof ("we," "us," or "our").

By accessing or using OutProof, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you may not use the Service.

1. Description of Service

OutProof is a content creation tool for Instagram and TikTok creators. It provides:

• AI-powered reel and carousel content generation, including overlays, captions, and slide content
• A content calendar for scheduling and organising posts
• A reel preview and export tool for producing MP4 video files with text overlays
• A Plan Mode for generating a week of content in a single session
• User-initiated TikTok inbox draft delivery for ready reels and carousel posts
• Optional Instagram publishing for ready reels and carousel posts

OutProof can publish to Instagram only when you connect an eligible Instagram professional account and choose to publish manually or enable auto-publishing. TikTok delivery sends ready posts to TikTok as inbox drafts, but you finish review and posting inside TikTok. OutProof does not add platform music, licensed music, trending audio, audio stickers, or other Instagram/TikTok audio features to posts.

2. Account Terms

To use OutProof, you must:

• Sign in with a valid Google account. Password-based authentication is not supported.
• Provide accurate information and keep your account secure
• Be at least 13 years of age
• Not share your account credentials with others
• Notify us immediately at presh@outproof.ai if you suspect unauthorised access to your account

You are responsible for all activity that occurs under your account.

3. Subscriptions and Billing

OutProof offers paid subscription plans billed monthly through Dodo Payments:

• Solo - $29/month. Single brand account.
• Pro - $59/month. Up to 5 brand accounts.

Subscriptions renew automatically at the end of each billing cycle. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you retain access until then.

There is no free trial and no freemium tier. All sales are final. We do not offer refunds.

In the event of a failed payment, we will notify you via email. Continued non-payment may result in suspension of your access until the outstanding balance is resolved.

4. Acceptable Use

You agree to use OutProof only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to create content that is illegal, defamatory, harassing, abusive, or infringes on the rights of others
• Attempt to gain unauthorised access to OutProof's systems, infrastructure, or other users' accounts
• Use the Service to scrape, harvest, or collect data about other users
• Resell, sublicense, or otherwise commercialise access to the Service without our written consent
• Upload content you do not have the right to use, including copyrighted material, music, or audio belonging to others
• Use OutProof to create or distribute spam, misleading content, or coordinated inauthentic behaviour on social platforms

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

5. Content Ownership

You retain full ownership of all content you create using OutProof, including your overlays, captions, carousels, exported videos, and any media you upload.

By uploading content to OutProof, including video clips and images, you grant us a limited, non-exclusive licence to store and process that content solely for the purpose of providing the Service to you. If you choose to send a TikTok draft or publish to Instagram, this licence also permits us to transmit the selected content, title, caption, and related delivery data to TikTok, Meta, and/or Instagram solely for the requested delivery or publication. We do not use your content for any other purpose.

AI-generated content produced by OutProof using your inputs, including niche context, atoms, and angle selections, is yours. We do not claim ownership of it and do not use it to train AI models.

6. AI-Generated Content

OutProof uses AI models (Anthropic Claude and OpenAI) to generate reel overlays, captions, and carousel slide content based on inputs you provide. By using these features:

• You understand that AI-generated content may not always be accurate, appropriate, or free from error. You are responsible for reviewing all generated content before publishing.
• You are solely responsible for the content you publish to social platforms, regardless of how it was generated.
• You agree not to use AI-generated content to deceive, defraud, or mislead others.
• The quality and specificity of generated content depends on the quality of the inputs you provide. OutProof makes no guarantees about content performance on social platforms.

7. Exported Video Files

OutProof generates MP4 video files client-side using your browser's media capabilities. We make reasonable efforts to produce files compatible with Instagram and TikTok upload requirements, but we cannot guarantee compatibility with every device, browser, or platform version.

OutProof does not add Instagram or TikTok music, licensed music, trending audio, audio stickers, or platform-provided audio tracks to exported files or published posts. If a video file already contains audio that you provided or have the right to use, that audio may remain part of the uploaded file, subject to the receiving platform's rules.

If your browser does not support the required video codec, OutProof will display an error. We do not offer refunds for technical limitations of specific browsers or operating environments.

8. TikTok Draft Delivery

TikTok draft delivery is an optional feature. To use it, you must connect a TikTok account and grant the permissions requested by TikTok. By connecting TikTok, you agree that your use of TikTok through OutProof is also subject to TikTok's own terms, privacy policy, and platform rules.

When you choose to send a ready reel or carousel to TikTok, OutProof may send the selected media, title, caption, and related delivery metadata to TikTok. TikTok may process that content and deliver an inbox notification or draft experience for you to finish inside TikTok.

OutProof does not guarantee that TikTok will accept, process, deliver, or keep any draft available. TikTok may reject content, change its APIs, change eligibility requirements, or remove access to draft delivery at any time.

You remain solely responsible for reviewing, editing, approving, and publishing any content on TikTok. OutProof does not make the final post public for you.

9. Instagram Publishing

Instagram publishing is an optional feature. To use it, you must connect an eligible Instagram professional account and grant the permissions requested by Meta/Instagram. By connecting Instagram, you agree that your use of Instagram through OutProof is also subject to Meta's and Instagram's own terms, privacy policies, platform rules, account eligibility requirements, and API limitations.

When you choose to publish a ready reel or carousel to Instagram, or enable Instagram auto-publishing for scheduled posts, OutProof may send the selected media, caption, and related publishing metadata to Meta/Instagram. Meta/Instagram may process, reject, delay, remove, or otherwise handle that content according to their own systems and rules.

OutProof's Instagram publishing feature does not add music or audio to posts. We do not provide access to Instagram's licensed music library, trending audio, audio stickers, or in-app music selection tools. If you want Instagram-provided music or audio on a post, you must add or edit it manually inside Instagram where Instagram makes that available.

You remain solely responsible for reviewing, editing, approving, and publishing any content on Instagram, including ensuring you have the rights to any media, music, or audio included in your content.

10. Third-Party Services

OutProof integrates with third-party services including Supabase, Dodo Payments, Resend, PostHog, Anthropic, OpenAI, TikTok, and Meta/Instagram. Your use of these services through OutProof is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

11. Service Availability and Modifications

We aim to keep OutProof available at all times, but we do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time. Where a significant feature is removed, we will make reasonable efforts to provide advance notice. We are not liable for any impact resulting from feature changes or service interruptions.

In cases of extended, unplanned downtime, we may at our discretion extend subscription periods or provide account credits as compensation. We do not provide monetary refunds for service interruptions.

12. Intellectual Property

The OutProof name, logo, product design, and underlying software are the intellectual property of OutProof and are protected under applicable law. Nothing in these Terms transfers ownership of any OutProof intellectual property to you.

You may not copy, reproduce, distribute, or create derivative works from any part of OutProof without our express written permission.

13. Disclaimer of Warranties

OutProof is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, uninterrupted, or that any content generated will meet your specific requirements or perform in any particular way on social platforms.

To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of Liability

To the maximum extent permitted by applicable law, OutProof shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, followers, business opportunity, or data, arising from your use of the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the three months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless OutProof and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights, including intellectual property rights in content you create or publish using OutProof.

16. Termination

You may stop using OutProof and cancel your subscription at any time. To request account deletion, email presh@outproof.ai.

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or use the Service in a manner that causes harm to OutProof or other users.

Upon termination, your access to the Service will cease. Content you have already downloaded remains yours.

17. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of OutProof will be resolved through good-faith negotiation in the first instance.

18. Children

OutProof is not intended for use by individuals under 13 years of age. If you are under 13, you may not use this Service. If we become aware that a user under 13 has created an account, we will delete that account promptly.

19. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will notify you by email with reasonable advance notice. Continued use of OutProof after updated Terms are posted constitutes your acceptance.
